WILLAMETTE VALLEY CORVETTE ASSOCIATION CONSTITUTION

(Revised: 1 March 2018)

The articles of incorporation were filed with the State of Oregon on August 15, 1968.

ARTICLE I: NAME

WILLAMETTE VALLEY CORVETTE ASSOCIATION

ARTICLE II: PURPOSE

1. To Create esprit-de-corp [corps] among Corvette owners.
2. To further the general interest in Corvettes as a sports car.
3. To provide an organization for the exchange of technical information between Corvette owners, dealer and manufacturer.
4. To encourage skillful handling and safe driving
5.   To provide social gatherings for owners with a common interest.

ARTICLE III: MEMBERS

Section 3.1 MEMBERSHIP DESIGNATIONS:

The Association will consist of the following:

2. ACTIVE MEMBER(S): are person(s) who qualified for membership per the provisions of Section 2.2 of the Constitution and By-Laws and have been approved by 2/3 of the members present at a regular meeting.
3. CHARTER MEMBERS: are members who are present at the meeting of July 18, 1968.
4. FAMILY MEMBERS: are members that are married or unmarried couples.
5. HONORARY MEMBERS: are persons who are held in high esteem by members of the Association and have been approved for this honor by the Association members present at the next scheduled meeting after nomination.
   1. Decision will be by majority vote counted. 
   2. Honorary members will not be assessed dues, hold office or have voting privileges.

Section 3.2 APPLICATIONS:

Applications will be provided by the Association and must be submitted to the Secretary. Requests for special consideration may be submitted to the Board of Directors.

Section 3.3 QUALIFICATIONS FOR MEMBERSHIP:

1. Be a registered owner of a Corvette automobile.
2. To qualify for family membership, at least one member of the couple must be a registered owner of a Corvette automobile.
3. Provide proof of ownership, and automobile insurance coverage upon request.
4. Refer to Section 3.3 in the ByLaws for additional requirements.

Section 3.4 RIGHTS OF ACTIVE MEMBERS:

1. Have one vote.
2. May be elected or appointed to an office.
3. May participate in all Association functions and activities.
4. May display the approved emblems of the Association.

Section 3.5 TERMINATION OF MEMBERSHIP: 

1. Non-payment of dues.
2. Failure to maintain the membership qualifications in Section 3.3 of the Constitution.
3. Actions detrimental to the best interests of the Association.

Section 3.6 RESIGNATIONS:

A member may resign by writing a letter to the Association.

ARTICLE IV: OFFICIAL ASSOCIATION ATTIRE

The official Association emblem is an image of Mt. Hood in the background; green trees in front of the mountain; and three Corvettes in front of the trees. The order and color of the Corvettes are as follows from left to right: 1982 Bright Blue Metallic; 1967 Sun-fire Yellow; 1961 Roman Red-white Cove. The words, WILLAMETTE VALLEY are in an arch over the Mountain; under the three Corvettes is the word, CORVETTES; and at the bottom of the words, Salem Oregon. The official Association jacket can be any color with the Association Emblem on the back and is worn by Association members only.

All previous Association emblems may be worn in lieu of the above-described official emblem.

ARTICLE V: FINANCES AND DUES

Active member(s) will be assessed annual dues.

ARTICLE VI: ELECTED OFFICERS

Section 6.1 SUCCESSION OF OFFICERS:

1. President
2. Vice President
3. Secretary
4. Treasurer
5. Historian
6. Member at Large

Section 6.2 TERM:

Association officers will serve a one year term – starting January 1.

Section 6.3 RESPONSIBILITIES OF OFFICERS:

1. PRESIDENT: Presides over the business of the Association.
2. VICE PRESIDENT: Performs the duties of the President when the President is absent or unable to continue in office; is Public Information Officer, and is responsible for Association activities.
3. SECRETARY: Provides required support services as defined by the Association By-Laws.
4. TREASURER: Has fiduciary responsibility for all monies, and Association assets as defined in the Association By-Laws.
5. HISTORIAN: Is responsible for recording a pictorial history of Association activities.
6. MEMBER-AT-LARGE: Represents the Association at external affairs, and performs other duties as directed by the President.

Section 6.4 RESIGNATION BY OFFICERS:

An officer will submit a letter of resignation to the Board of Directors.

Section 6.5 FILLING VACANT OFFICES:

Except for the Office of President, all vacant offices must be filled by Presidential appointment subject to approval of the Board of Directors. In the case of a vacancy in the Office of President, the duties of the President will be assumed by the next officer in succession.

Section 6.6 BOARD OF DIRECTORS:

1. President
2. Vice President
3. Secretary
4. Treasurer
5. Historian
6. Member-at-Large
7. Immediate Past President

ARTICLE VII: NOMINATIONS AND ELECTIONS

Section 7.1 NOMINATIONS:

A nominations committee will be appointed by the President.

Section 7.2 ELECTIONS:

Elections will be held at the first meeting in October and shall be held by ballot.

ARTICLE VIII: MEETINGS

1. Regular business meetings are held monthly.
2. Special membership meetings may be called by the President.
3. All meetings will be guided by Roberts Rules of Order.

ARTICLE IX: COMMITTEES AND APPOINTED POSITIONS

 Section 9.1 COMMITTEES:

1. Special Committee: All special committees will be appointed by the President.
2. Standing Activities Committee: Will be chaired by the Vice President.

Section 9.2 APPOINTED POSITIONS: 

1. GLASS SASS EDITOR: Is responsible for the Glass Sass Newsletter and/or website.
2. WEBMASTER: Maintains the Association’s website.

ARTICLE X: AMMENDMENTS TO THE CONSTITUTION 

1. Active members may propose amendments to the Constitution in writing to the board.
2. After review and approval by the Board, ten percent of the membership must approve the proposed amendment for ballot.
3. After written notice through the newsletter and/or website, a 2/3 majority of the ballots received is required to approve amendments to the Constitution.

ARTICLE XI: AMENDMENTS TO THE BY-LAWS

1. Active members may propose an amendment to the By-Laws in writing to the Board.
2. After review and approval by the Board, the amendments will be printed in the newsletter and/or website. This will serve as written notice to the membership.
3. After written notice, 2/3 majority of the voting members present may approve the amendments to the By-Laws.

ARTICLE XII: ASSOCIATION DISSOLUTION

1. Remaining assets shall be transferred or assigned by Willamette Valley Corvette Association’s sitting board members.
2. All material Association assets such as trophies, plaques, etc. in the Association’s possession may be disposed of as determined by vote of the remaining Association members.
